Seller Agreement

Welcome to ReelCrafts, a U.S.-based online marketplace owned and operated by Reelcrafts LLC (“ReelCrafts,” “we,” “us,” or “our”). This Seller Agreement (“Agreement”) governs your access to and use of www.reelcrafts.com (the “Site”) and any related services in the capacity of a Seller.

Definitions
In this Agreement, the following capitalized terms have the meanings set forth below:

  • Platform: the ReelCrafts marketplace at www.reelcrafts.com.

  • Seller: any user who registers to list or sell products on the Platform (referred to on the Site as “Makers”).

  • Buyer: any user who makes a purchase from a Listing on the Platform.

  • Listing: an offer to sell a Product via the Platform.

  • Order: a buyer’s purchase of one or more Products.

  • Prohibited Items: goods that are not handmade, custom-made, or otherwise approved by ReelCrafts.

1. Eligibility and Account Setup
You must be at least 18 years old and act as an independent business. You are responsible for maintaining accurate account, payment, and tax information. Your account may be suspended or terminated for violating this Agreement or applicable laws.

2. Independent Contractor Relationship
You operate as an independent seller, not an employee, representative, or agent of ReelCrafts. You are solely responsible for your products, business operations, and tax compliance.

3. Product Listings
You must provide accurate, honest, and complete product titles, descriptions, pricing, and images. Only handmade, custom-made, or customized fishing lures, flies, rods, or other fishing-related equipment are permitted. Prohibited or low‑quality Listings may be removed, or your store closed, at our discretion.

4. Fulfillment & Shipping
You are responsible for fulfilling and shipping Orders within the timeframes you communicate. Buyers must see expected shipping and delivery windows. You must mark items as shipped in your dashboard when dispatched.

  • Use reliable, trackable shipping methods.

  • Ensure safe, secure packaging.

  • Ship with any insurance necessary to cover full value of the item, or else you bear the risk of loss for damage, theft, or non‑delivery. In the event of loss or damage in transit, you must manage claims with the carrier. ReelCrafts is not responsible once items leave your control. Failure to meet these standards may lead to account review, enforced refunds, or suspension.

5. Payouts & Fees
ReelCrafts charges a 5% commission on each product (applied to product subtotal only) plus Stripe’s 2.9% + $0.30 payment fee per Order (applied to grand total). Commissions do not apply to shipping or taxes. This structure may change with notice; promotional or seller‑specific rates may apply.

Sellers must not inflate shipping or handling to avoid commissions. ReelCrafts may withhold payouts or adjust Orders if such behavior is detected.

Payouts are processed via Stripe Express. All sellers must use Stripe. Funds are typically released 14 days after Order placement, subject to additional Stripe holds outside ReelCrafts’ control. ReelCrafts is not liable for delays caused by Stripe.

6. Off‑Platform Transactions & Communications
All purchases must be completed through the Platform to ensure protections and accurate records. Off‑platform payments or communication (including soliciting direct emails, phone calls, or external messaging) is strictly prohibited. Violations may result in suspension or deactivation.

7. Taxes
ReelCrafts uses third party software to calculate and collect applicable sales tax, VAT, or similar taxes at checkout. As the merchant of record, ReelCrafts is responsible for remitting these taxes. Sellers are responsible for reporting and paying income taxes on earnings from the Platform.

8. Returns & Buyer Disputes
You may set and display your own return/refund policy. If none is set, our standard policy applies. ReelCrafts may override your policy for misrepresented or defective items.
Buyers and sellers should communicate to resolve disputes. ReelCrafts will have final decision authority on refunds, cancellations, and account actions.

  • Sellers cover the full cost of refunds, including Stripe’s non‑refundable fees.

  • If your Stripe balance is insufficient, Stripe may debit your bank account.
    Repeated inadequate balances or excessive returns may lead to account suspension or removal.

9. Communication Expectations
You are expected to respond to buyer questions and complaints within 3 business days. Failure to do so may result in negative reviews, disputes, or account actions.

10. Intellectual Property & Platform Use
You retain ownership of your product images and written content. By uploading content, you grant ReelCrafts an unrestricted, perpetual, royalty‑free license to display and promote your content, or to otherwise use this content for promotional, advertising, or other purposes.

You warrant that all Listings, images, and descriptions do not infringe any third‑party rights. You agree to indemnify and defend ReelCrafts from any claims or liabilities arising from alleged infringement. You may not misuse, scrape, or reverse engineer the Platform.

11. Account Inactivity
Accounts with no log‑ins or sales for 12 months may be closed. Sellers will receive notice and may reactivate prior to closure.

12. Termination of Access
ReelCrafts may suspend or terminate your account, immediately and without notice, if you violate this Agreement, fail to fulfill Orders, receive excessive complaints, or list prohibited or poor‑quality products.

13. Dispute Resolution & Arbitration
Any dispute arising between Seller and Platform under this Agreement shall first be addressed through good‑faith mediation. If unresolved within 30 days, the dispute will be submitted to binding arbitration under the rules of the American Arbitration Association in Florida.

14. Governing Law
This Agreement is governed by the laws of the State of Florida. Any judicial proceedings shall be exclusively in Florida state or federal courts, to which you consent.

15. Modifications & Notice Periods
ReelCrafts may modify this Agreement at any time. Material changes (e.g., fee adjustments) will be noticed via email and an announcement on the dashboard. Continued use constitutes acceptance.

16. Severability & Waiver
If any provision is held invalid, the remainder of this Agreement shall remain in full force. Failure by ReelCrafts to enforce any right under this Agreement does not constitute a waiver of that right.

17. Other Policies
Your use of the Platform is also governed by our Privacy Policy and Terms & Conditions, available at www.reelcrafts.com/privacy-policy and www.reelcrafts.com/terms-and-conditions. Your acceptance of this Seller Agreement constitutes acceptance of those policies as well.
